Cross Collateralized Portfolio of Re-performing Debtors

KBS Realty Advisors LLC played a key role in assisting Polymath & Boffin to establish one of the first REIT-style structures in Italy, aligning with their deep expertise in institutional real estate. Through this framework, multiple parties were able to pool assets and unlock new liquidity to address deferred maintenance, property upgrades, creditor exposure, and other capital needs. The underlying assets were primarily office or mixed-use properties across the greater Milan area. KBS, founded in 1992, brings extensive hands-on experience, having managed over $44.7bn in real estate transactions as of June 30, 2022.

Intesa Sanpaolo Hotel Portfolio: Custom Exit Orchestrated by Polymath & Boffin

Intesa Sanpaolo asked Polymath & Boffin to resolve a complex portfolio of six Italian hotels with a highly fragmented capital stack. Each property carried multiple loans from different banks, layered over varying security interests tied to land, buildings, and operating companies, making independent workouts unfeasible. Over eight months, Polymath & Boffin coordinated all borrowers and lending parties to establish a unified closing framework and align the portfolio for resolution.

Retail Portfolio Turnaround

UniCredit Leasing, operating independently from UniCredit’s retail bank, sought a resolution for a seven-asset portfolio of city-centre retail complexes across Udine, Trieste, Grado, Lignano Sabbiadoro, Treviso and Venezia Friuli Giulia. Although post-2019 reforms enabled securitization of leasing debt, this portfolio remained constrained by legacy structures and operational complexity. UniCredit Leasing required a negotiated solution that allowed borrowers to repay an agreed amount and fully release the bank from its position.

Single-name Distressed Real-Estate Restructuring

The Willow Brook Capital transaction required a refinancing structure for a single-name, cross-collateralized position. To address the regulatory constraint that one borrower’s income cannot support another within the pool, Polymath & Boffin designed an equity-swap mechanism, an approved corrective method that reallocates revenues to stabilize specific borrowers under defined conditions. Between 2017 and 2019, Polymath & Boffin deployed $300M into single-name portfolios that accepted this cross-collateralized framework, ensuring proportional equity transfers when individual borrowers defaulted.
